Minim, Inc. Receives Notice from Nasdaq Regarding Delayed Filing of Form 10-Q
Minim, Inc. has received a notice from the Nasdaq Stock Market LLC (Nasdaq) on November 16, 2023, stating that the company is not currently in compliance with Nasdaq’s Listing Rules due to the delayed filing of its Form 10-Q for the period ended September 30, 2023. The notice has no immediate effect on the listing or trading of the company’s securities.
According to Listing Rule 5250(c)(1), the company was required to file the Form 10-Q by November 14, 2023. The company was unable to meet this deadline and had previously reported its inability to file the form in a Form 12b-25 filed with the Securities and Exchange Commission on November 15, 2023. Nasdaq has informed the company that it has 60 calendar days from the receipt of the notice to submit a plan to regain compliance with the rule.
The company is diligently working to complete the Form 10-Q and anticipates filing it as soon as possible. If Nasdaq accepts the company’s plan, it may grant an exception of up to 180 calendar days from the due date of the Form 10-Q, or May 13, 2024, to regain compliance. There is no guarantee that Nasdaq will accept the plan or that the company will be able to regain compliance within any extension period granted.
